Avianca-SAM/ Aces airline merger goes ahead one year later

After a period of dramatic debate involving the national competition watchdog, Colombia’s three main airline carriers - Avianca (Aerovías Nacionales de Colombia SA), SAM (Sociedad Aeronáutica de Medellín Consolidada SA), and Aces (Aerolíneas Centrales de Colombia SA) - have finally come together over a year after they announced their intention to merge operations. The operational merger, given the green light by the Colombian civil aviation authority, Aerocivil, in December, came into effect at the end of February, following the signing of shareholder agreements.

US$47 million loan for Colombian coffee fund

Colombia’s National Coffee Fund (Fondo Nacional del Café) has obtained a US$47 million secured loan facility, with several local and foreign financial institutions acting as lenders. JPMorgan Chase was arranger for the Fedecafe Export Receivables Master Trust Series 2002-1 transaction, which closed on February 25.

Baker & McKenzie wages war on Colombia's fake perfumes

A series of raids on perfume manufacturers, retailers and exporters in Colombia has netted a massive haul of counterfeit merchandise bearing the trademarks of the world’s best-known perfumiers, including Chanel, Gucci, Giorgio Armani, L’Oreal, Dior and Calvin Klein.

Raisbeck, Lara, Rodriguez & Rueda wins trademark saga for Cartier

The French watchmaker-jeweller Cartier International BV (Cartier) has won an eight-year-long battle to get the Colombian clothing trademark André Cartier & Label banned. Baker & McKenzie affiliate Raisbeck, Lara, Rodriguez & Rueda obtained the favourable ruling for Cartier despite dogged opposition from the Colombian Trademark Office. The final decision was delivered on February 12.

'.co' domain name declared of public interest

The ‘co’ domain name in Colombia has been administrated by University of Los Andes since 1991, and no local regulations exist with respect to this matter. On December 11, however, the Council of State (the Colombian Administrative High Court) answered a request filed by the Ministry of Communications with respect to the legal status of the domain name ‘co’.

Morgan & Morgan advises Bavaria on record Panamanian acquisition

The Panamanian law firm Morgan & Morgan has acted as lead counsel to the Colombian Bavaria SA, one of the world's leading brewers, in its purchase of Cervecería Nacional SA, the largest brewery in Panama. The US$260-million-plus deal is the biggest M&A transaction in Panamanian history, according to Rómulo Roux, who headed the Morgan & Morgan team.

Colombian and international firms advise on capital markets transaction

Colombian firm Gómez Pinzón & Asociados has acted as local counsel for JP MorganChase in the issue and placement by the City of Bogotá of US$100 million, 9.5 per cent notes due 2006 in the international capital markets, pursuant to rule 144A and Regulation S of the US Securities Act. Partner German Villamil Pardo and associate Jorge Enrique Barón led the Gómez Pinzón & Asociados team working on the transaction, which closed on December 12, 2001.

Corporación Andina de Fomento (CAF) has granted a US$250-million A/B loan to Bavaria SA, a major Colombian brewery.

New credit facility for Colombian petrochemicals company

The Inter American Investment Corporation has structured a long-term credit facility of US$7 million to be made available to BIOFILM SA, the Colombian petrochemicals company. Posse Herrera & Ruiz Abogados, who represented the IIC, says the facility will allow BIOFILM to increase production by 75 per cent. The deal was closed on August 29th.
