Litigation: Successful representation of an international client in an arbitration proceeding against a local energy developer. The tribunal included well-known international arbitrator and proceeding was conducted considering international standards. Successful representation an US energy subsidiary in an arbitration proceeding against a local energy generation company.
M&A: United health on the takeover of Banmedica’s regional business via public offering for US$2.8 billion; Sale of Quicorp for US$583 million; I Squared Capital on the acquisition of IC Power’s entire Latin American energy portfolio for US$1.2 billion; China Southern Power in its acquisition of Brookfield stake in Transelec for US$1.3 billion.
Mining: Southern Peru Copper in its successful bid to acquire Michiquillay with an expected investment of US$2.5 billion; Tahoe Resources on its sale to Pan American Silver for US$1.1 billion; Marcobre on the US$900 million financing of Mina Justa project; Antamina on its US$1.5 billion expansion; Freeport McMoRan on the US$4.7 billion additional expansion of Cerro Verde; and Barrick in its strategic plans to expand Lagunas Norte.
O&G: Exxon Mobil on the sale of its lubricants and fuels business for US$747 million; Gases del Norte on the process for the award of the US$230 million concession for the distribution of natural gas; Gases del Pacífico on the US$250 million transport and subsequent commercial distribution of LNG; Karoon Gas on the permitting required for the first deepwater exploration in Peru.
Project finance: Natixis on the US$141 million financing of the transmission line of Concessionaire Transmission Line (Bow Power); PeruRail on the US$131 million financing for Las Bambas transport project; The Bank of Nova Scotia y Sumitomo on the US$366 million refinancing to Fenix Power; Mizuho and Sumitomo on the US$ 396 million financing of the expansion of Metro Line 1; Natixis on the US$173 million financing of the Carhuaquero-Cajamarca-Norte-Caclic-Moyobamba transmission-line.
Tax: Successful representation before the Tax Court concerning income tax refund of Rimac Compañía de Seguros (US$30 million) and Minsur (US$100 million); Hudbay on a US$3.5 million tax audit and subsequent challenge of VAT credit.
