Venezuela

MENPA – Mendoza, Palacios, Acedo, Borjas, Páez Pumar & Cía, incorporated in 1945, with offices at Caracas and Valencia, is one of the top and most experienced providers of legal services in Venezuela, representing and advising local and international corporations, and national and foreign individuals, regarding many different, high-impact and complex legal matters. The team was strengthened in 2023 by the incorporation of four new reputed partners in the corporate and tax areas. Overall, MENPA provides dynamic, strategic and sound advice, that combines strong legal knowledge with a practical approach.

MENPA is a full-service law firm, with activities in traditional and emerging legal areas, including banking and finance, corporate governance, commercial law, labour and employment, civil law, project financing and debt restructuring, public law, insurance and reinsurance, tax, energy and natural resources, sports and entertainment, life sciences, real estate, and inheritance and tax planning. In recent years, MENPA has delved deeply into international sanctions programmes as they interact with Venezuelan law.

Additionally, the firm is very strong in dispute resolution both in national and international jurisdictions. Its experienced litigation department has handled up to 2,000 court cases at a time, which makes it one of the largest and most efficient litigation departments in Venezuela. MENPA’s involvement in commercial arbitration is also very significant.

An important part of the firm’s work is its M&A and private equity practice, starting with due diligence processes regarding the target company, focusing, among other matters, on corporate governance issues, real estate, labour and litigation procedures, and general liabilities, all of which are crucial for the approval of specific transactions; and then advising on negotiations, drafting agreements and further implementation.

MENPA also has a very strong national and international banking practice, with particular emphasis on compliance issues (including international sanctions programmes), regulatory and contractual matters. Additionally, we advise international lenders regarding important project financing and debt restructurings. Insurance and reinsurance are one of the firm’s most important work areas; MENPA advises the Venezuelan Chamber of Insurers, as well as international reinsurers and insurers with regard to their activities in Venezuela and is widely recognised for the expertise of its attorneys.

The firm currently works with financial entities in projects related to the energy industry, keeping a close look at legislation changes and developments in the oil, petrochemical, electricity and cement sectors, with particular emphasis on international sanctions. In anticipation of market growth, MENPA assists private equity and other clients in energy-related M&A transactions.

The firm is committed to social responsibility. By conducting pro bono work for non-profit institutions, universities and NGOs, MENPA hopes to contribute to a fairer and better society.

MENPA is recognised for its values of transparency, diversity and integrity. The development of women’s careers is an important policy at MENPA. Its teams are carefully integrated for each case, and include legal experts, as well as – depending on specific requirements – litigators and/or lawyers with a business and administration background, for the provision of a comprehensive service.
