Work highlights

Advised Citibank del Perú SA as project trustee and Citibank NA as account bank in a US$811 million off-balance sheet Export Credit Agency backed-financing granted to Metro de Lima Linea 2, backed by Peruvian government payments (RPI-CAOs), under the Lima Metro Line 2 Project. This is one of the only RPI-CAO export credit financings and the largest RPI-CAO transaction ever financed under a loan format in Peru.

Advised Banco Internacional del Perú SAA (Interbank), Banco BBVA Perú (BBVA) and Corporación Interamericana de Inversiones (BID Invest) in their US$160 million financing of Peruvian agricultural exporters Agrícola Cerro Prieto, Qali Fruits and Cerro Prieto Colombia. The funds will be allocated to refinancing the borrower’s existing debt and the expansion of their operations in Peru and Colombia. The cross-border team was led by partners in Peru and Colombia.

Advised the Republic of Peru in connection with three simultaneous and interrelated transactions: (i) the issuance of sovereign bonds in the international market for an aggregate principal amount of US$3,089,320,000 at a rate of 5.95 per cent and with a term of 10 years, (ii) a tender offer for global depositary notes (GDN) under Rule 144A and Regulation S of the US Securities Act of 1933 in the amount of US$36, 133,244, and (iii) tender offer to purchase global bonds maturing in 2019 at a rate of 7.125 per cent in the amount of US$254,667,527.

We advised Ergon Perú in connection with the private placement of US$222 million and 4.87 per cent green bonds due 2034. This project is the first of its kind to be developed in Peru. The project consists of the installation, operation and maintenance of over 200,000 autonomous solar photovoltaic panels to supply electricity, which was awarded by the Ministry of Energy and Mines of Peru to Ergon.

Advised Telefonica in connection with a US$150 million transaction for the incorporation and investment in Internet para Todos (IpT). Telefonica contributed its existing rural business to IpT. Facebook, IDB Invest and CAF are investing in IpT with the purpose of upgrading existing voice services and building new sites to deliver fast mobile internet coverage in a wholesale Network as a Service model (NaaS). IpT aims to connect rural and non-urban communities in Peru currently not connected to their services.

Advised HudBay Peru in connection with a US$8 million arbitration, which concluded with an award in favour of our client. A remarkable case because it was one of the first Peruvian arbitrations in which a Time & Materials contract was analysed. The Tribunal issued the award, dismissing 60 per cent of the claim, condemning the claimant to pay 75 per cent of the arbitration expenses and allowing HudBay to retain US$1.3 million as cash guarantee. When the parties negotiated the execution of the arbitral award they realised the claimant had to reimburse HudBay Peru US$100,000.
