Dual qualified Spanish and Brazilian lawyer, Mr Hernández co-heads the Iberoamerican Practice Group in Demarest. He is a specialist in corporate law, cross-border transactions, mergers and acquisitions, project finance and structuring, as well as complex commercial agreements. He has broad experience advising investments and divestments transactions (incorporations, acquisitions, joint ventures, corporate restructurings, partners’ agreements, etc) for international clients and private equity houses regarding their businesses in Brazil and abroad. He has been providing legal assistance in the preparation and negotiation of various infrastructure-related contracts, including engineering, procurement and construction contracts (EPCs) and joint ventures, as well as turnkey and built-to-suit agreements, subcontracts, architectural and engineering contracts. He is also an expert in corporate governance, as well as in the defense of the shareholders and partners’ rights.
Mr Hernández previously worked in Spain (Madrid) and the USA (New York), advising in a wide range of industries (energy, real estate, hotel and leisure, insurance and financial sectors) and was, for six years, the managing partner in Brazil of one of the major Spanish law firms.
