Main international areas of practice
Banking, finance law, securities and capital markets: Consortium has extensive and solid experience advising prestigious banks and financial institutions on financial laws and regulations in the five countries. Consortium Costa Rica advised Scotiabank de Costa Rica, SA and Banco Nacional de Costa Rica, in their capacity as lenders, in a restructuring deal, in which the current debt of Portafolio Inmobiliario, SA, and other related borrowers, was restructured by way of a syndicated and participated A/B loan structure. The main guarantee of such loan consisted in a guaranty trust with several of the most important commercial real estate projects of San José. Also, Consortium represented Tenedora Inmobiliaria Cuestamoras SA, a subsidiary of Grupo Cuestamoras, in connection with its going private tender offer to acquire all of the outstanding shares of Inmobiliaria ENUR SA, this successful transaction was the first going private tender offer deal in the history of the Costa Rican securities market industry.
Corporate, commercial and M&A: Consortium handles incorporations of companies, board resolutions, general shareholders’ meetings. It is a leading firm in the M&A market, in the past 20 years it has actively participated in the most complex M&A transactions that have taken place in Costa Rica. The firm has recognised expertise in commercial transactions: international trade, distribution, licensing and agency agreements, and general commercial contracts; it also has an active participation in environment and power industry counselling.
Intellectual property: Consortium advises on trademark, patent and copyright law, IP litigation, enforcement actions and registrations of IP rights, cancellation proceedings and licensing, etc.
Litigation and arbitration: Consortium advises in civil and commercial litigation and arbitration, they represent many local and international companies in disputes in these areas. Public, administrative and constitutional law: The Costa Rican office advises on the entire government contracting process, from pre-bidding, analysis of the bid, objections to the tender terms, clarifications, preparation and filing of the offer, submittal of the bid, appeals, contract negotiation, preparation of support documentation needed for a contract’s approval, follow-up and implementation processes.
