Since the opening of our Houston office in 2016, Orrick’s Latin America practice has developed into a multijurisdictional platform that has closed manifold cross-border deals worth billions of dollars.
While Houston serves as the hub for our Latin America practice, our teams are well connected across New York, San Francisco, London, Paris and Düsseldorf and include senior lawyers licensed and trained in both US and Latin American jurisdictions, fully bilingual in English and Spanish.
Energy: We combine a powerful energy practice with deep experience in Latin America. Our nationally top three ranked project finance team (InfraDeals 2016) has been named Law360 project finance group of the year four times. In Latin America, our energy lawyers provide advice on innovative energy project development and finance. We act for clients across the upstream, midstream and downstream oil and gas sectors and have handled some of the largest renewable energy projects and award-winning traditional power projects.
We advised on Proman AG’s development of a US$1.3 billion petrochemical facility in Mexico and are advising Merlin Energy in the negotiation and implementation of the first-ever overriding royalty interest in Mexico, a groundbreaking transaction that introduced a new financial instrument to the Mexican market. We also closed an IDB project financing for Sky Solar for six solar projects in Uruguay and are working on other renewable energy projects in Argentina and Mexico that resulted from the recent power auctions conducted in those countries.
Corporate, M&A and private equity: Our globally top 15 ranked M&A team (Mergermarket 2017) offers deep corporate experience for clients in regulated and non-regulated industries. In Latin America, we pair this local knowledge with the resources of our global platform handling numerous cross-border acquisitions, dispositions and restructurings. We are particularly focused on advising Latin American clients in their global investments and represented a Mexican restaurant operator on its $230 million bid for the acquisition of a US restaurant chain with 120 properties across the United States. We also advised PGIM Real Estate Finance on a $275 million cross-border senior loan secured by a portfolio of 32 industrial properties located in Mexico and handled the acquisition of the Dominican Republic’s largest airport company, Aerodom, followed by its $533 million debt refinancing, awarded the “Best Infrastructure Financing: Caribbean” (LatinFinance 2017).
Dispute resolution and investigations: We help our clients manage risk and compliance in an often challenging political environment. We assist Fortune 500 companies with internal investigations, regulatory compliance, and whistleblower cases regarding FCPA and Sarbanes-Oxley complaints in various Latin American countries, and we offer Latin American companies a top five ranked “Litigation Powerhouse” (Law360 2016) platform to resolve commercial disputes.
