Steven Kaufman is a partner in Hogan Lovells’ Washington, D.C. office. Steve’s practice focuses on business transactions for communications companies, particularly satellite companies, but also network, broadband, wireless, telecom, Internet, cable, and hardware and software businesses. He assists these companies with complex contracts, financing, mergers and acquisitions, joint ventures, and other transactions.  Most of these companies are international, and Steve has handled a number of transactions in Latin America. 

Steve’s clients value his versatility. In an era when many lawyers have become specialists, narrowly focused on one type of transaction, Steve relies on his comprehensive knowledge of satellite and other communications companies to assist clients with many different types of transactions. He served as “outside general counsel” for two different satellite clients, each for approximately nine years. He acted as the lead lawyer on private financings, the IPO and numerous public and 144A equity and debt transactions, SEC reporting and corporate governance issues, Board advice, strategic joint ventures, acquisitions/sale, difficult contractual situations, commercial loans and secured financings.

In advising clients Steve also emphasizes practicality, striving to achieve the client’s business objectives for the transaction, whether financial, risk reduction, regulatory/compliance or transaction speed. This carries over into negotiations, where he willingly takes the lead.

Because of his familiarity with issues frequently encountered by satellite and other communications companies, Steve is adept at handling issues unique to companies in this space, including specialized contract terms, targeted warranties, risk factors, special covenants, insurance issues and license issues.
