Corporate transactional practice: Headrick Rizik Alvarez & Fernández provides legal counsel to its clients in all aspects related to corporate and securities laws. The firm has broad transactional practice in transactions solely within the Dominican Republic as well as cross-border transactions. The firm is continually involved in a number of national and cross-border transactions, including mergers and acquisitions, joint ventures, securitisations, corporate reorganisations, real estate, project finance, tax, and trusts and estates. The firm served as counsel to Royal Gold in a US$610 million minerals streaming transaction entered into with Barrick Gold in reference to a project in the Dominican Republic. The firm also provided legal assistance to Industrias Nigua in the acquisition of the main business stream of the company by Smurfit Kappa. The firm recently acted as counsel to Vinci Airports in the acquisition of Aerodom, the leading airports operator in the country.
Banking and finance: The firm has served as counsel to some of the largest banks in the Dominican Republic and many of the international banks and financial institutions with operations in the country. It has extensive experience in international finance, syndicated loans, medium-term note programmes and other financing techniques, and provides legal assistance to local and foreign financial institutions in a wide array of such matters. The firm regularly participates in loans and other financial transactions (such a both domestic and cross-border bond issuances) in the country. The firm advised Citibank, as lender and administrative agent, in a US$80 million loan extended to Consorcio Minero Dominicano (Cementos Panam) for the expansion of its cement plant in the Dominican Republic. The firm also served as counsel to the Bank of Nova Scotia in a US$45 million secured financing extended to Phoenix Tower Dominicana, a Blackstone portfolio company.
Litigation: The firm's litigation practice is widely considered to be the most prominent and successful litigation department of all of the large law firms in the country, boasting over 700 active cases and a roster of blue-chip clients. Its litigation department has extensive experience in litigation before the courts and administrative tribunals of the Dominican Republic, as well as in arbitration and alternative dispute resolution methods. The firm is representing the Association of Commercial Banks of the Dominican Republic and other organisations representing financial institutions in a constitutional challenge to the new Notary Public law. Likewise, the firm is representing the Central Bank of the Dominican Republic in claims and litigation arising out of the fraudulent bankruptcy of Banco Peravia.
