THE FIRM: Bruchou, Fernández Madero & Lombardi is one of Argentina’s leading full-service law firms and regularly advises major international and domestic banks and companies in connection with establishment, development and ongoing operation of their business. The firm has handled some of the largest transactions involving Argentine parties or assets, including many landmark mergers and acquisitions, debt and equity offerings, and corporate reorganizations. In addition, the firm is well known for its litigation and tax & customs practices. BFM&L forms part of Taxand, and has close working relationships with a vast range of top local firms in numerous countries.

Banking & Finance: The firm regularly represents domestic and international financial institutions and has vast experience in, among others, secured and syndicated lending, acquisition finance, IPOs, mandatory tender offers, structured finance and project finance. The firm also regularly advises ABA (Argentine Banking Association) and MAE (Mercado Abierto Electrónico).

Capital Markets: BFM&L has acted as underwriters’ counsel in more debt securities transactions than any other Argentine law firm. As such, the Firm has contributed to the introduction in the Argentine market of all international debt capital market products, including bonds, debt securities of all types and equity offerings. In 2016 the Firm advised, among many other transactions, the initial purchasers in the US$ 16.5 billion bond issuance of the Republic of Argentina, the largest ever bond issuance by an emerging market economy, giving an end to Argentina’s 15 years of default.

General Corporate Practice: The Firm is recognized as having one of the most effective corporate departments in Argentina. The Firm knowledge and expertise in the regulatory, competition law, corporate and business transactions fields makes it a preferred choice of counsel for any complex matter. The Firm has advised its clients in many of the most significant corporate matters and transactions both at home and abroad, and has a long-standing history of representing a substantial number of the main local and foreign corporations. Such exposure gives the Firm an advantageous position to understand and handle matters in a very challenging legal and economic environment. The Firm is well known for an approach to all corporate work based on giving pragmatic and commercial advice, facilitating the resolution of intricate issues and problems that would otherwise thwart smooth and effective implementation.

Litigation, International Arbitration & Bankruptcy: The firm regularly handles litigation before federal and local courts and administrative authorities, arbitration and alternative dispute resolution procedures. The Litigation Practice is led by five partners widely recognized in the Argentine legal market as leading practitioners. The firm is involved in many significant cases, in matters such as bankruptcy, banking and financial litigation, class actions, international and domestic arbitration, insurance, administrative proceedings and highly complex litigation before national and local courts. The firm has been handling renowned cases, and is considered a leader practitioner in dispute resolution.

Mergers & Acquisitions: The firm has been involved in some of the most significant M&A transactions of the last decade, representing sellers, buyers or financial advisors in many industry sectors. Transaction work is partner-led, bringing together specialists who deliver pragmatic advice. By drawing on the expertise from across the firm we provide a fully integrated service in all aspects of a transaction. The various landmark transactions in which the firm has played a leading role over the past few years include NII Holdings Inc. and two of its Spanish subsidiaries in the sale of Nextel Communications Argentina S.R.L. to Grupo Clarín S.A. (Domestic M&A of the Year 2015 - Latin Finance Deal of the Year Awards); Casino in the sale of its Argentine and Brazilian supermarket chains to Colombian subsidiary Éxito in 2015 (M&A of the Year - Latin Lawyer Deal of the Year Awards); Petronas E&P overseas ventures in its joint venture agreement with YPF for Vaca Muerta (this transaction is called to be a landmark in 2014 for the development and production of unconventional hydrocarbons in Argentina); Hidroeléctrica Piedra del Águila S.A. and La Plata Cogeneración S.A. (SADESA group) in the acquisition of 100% of the shares and votes of Petrobras Energía de Argentina S.A. and Petrobras Finance Bermuda Ltd. in 2013; Standard Bank London Holdings PLC in the sale of 80% of the capital stock of Standard Bank Argentina S.A., along with Holding W-S de Inversiones S.A., to Industrial and Commercial Bank of China Limited, the world's largest bank by market capitalization and profitability, in 2012; and Stillwater Mining Company, the only United States producer of palladium and platinum, in the acquisition of Peregrine Metals Ltd., company dedicated to the exploration and development of copper, which is listed on the Toronto Stock Exchange (Canada), and controlling shareholder of Minera Peregrine Argentina S.A., in 2011.

Energy and Natural Resources: The Department is integrated by four partners who are in charge of the Oil and Gas, Electricity and Mining practices. The Department is also composed by a team of more than 30 young lawyers which work on these matters and, at the same time, is supported by the other practice areas of our “full service” Firm to provide comprehensive legal services to our clients. The creation  of this Department on November 2014 anticipated the positive changes which were expected to occur as a result of a new Government being elected which were based upon the urgent need of Argentina to attract investment towards energy and mining. Today, the Energy and Natural Resources Department is the response of our Firm to the confidence entrusted by our clients and has been confirmed as an strategical and distinctive movement of our Firm to maintain our leading position in the Argentine legal market.

Tax, customs & foreign trade: The department has been ranked as a leader in the Argentine market by International Tax Review (ITR) -Tier 1 in 2015- while its Customs & Foreign Trade team has also been recognized as a leader in the Argentine market by Chambers & Partners -Band 1 in 2011-.
