Professional Notice

Nader, Hayaux & Goebel (NHG) is a market leader in mergers and acquisitions, banking and finance, securities and capital markets, structured finance, insurance and reinsurance, project finance, real estate, energy and infrastructure, telecommunications, restructurings and workouts, tax, government procurement and antitrust.

With 14 partners and more than 35 associates, we are one of the largest groups of corporate finance experts in the Mexican market. We represent leading local and international corporations and financial institutions, as well as Mexican and foreign governments and their agencies. We are also the only Mexican law firm with an office in London and enjoy excellent working relationships with law firms in all major cities around the world.

We have participated in many of the largest and most challenging M&A and finance transactions in Mexico, including capital markets and private equity transactions, leveraged buyouts, syndicated loans, PPPs, project financings, leasings and transactions in the insurance sector. We also advise clients on regulatory and government procurement matters.

Our banking and finance practice group is one of the largest groups of attorneys dedicated to banking and finance matters. Our clients benefit both from the wealth of expertise inherent to a large financial practice and the support of other practices of the firm, including M&A, real estate, securities and infrastructure, among others.

We have played a prominent role in all sectors of the banking and finance industry, including capital markets, securitisation, structured finance, regulatory matters, equity offerings, equity funds, leveraged buyouts, insurance, leasing, corporate lending, real estate finance, project finance, workouts, insolvencies and restructurings, among others.

Our banking and finance practice group regularly advises some of the leading financial institutions in the world, including commercial banks, investment banks, finance companies, export credit agencies, hedge funds, insurance companies, leasing companies, asset-based lenders, pension fund vehicles and other institutional investors.

Our securities group is formed by specialists who regularly participate in a wide variety of international and domestic public and private offerings of debt or equity securities, as well as in tender offers, advising issuers, investors, broker dealers, credit enhancers and underwriters.

Our mergers and acquisitions practice group represents Mexican and foreign clients in all aspects of M&A transactions, including joint ventures, strategic alliances, spin-offs, stock and asset purchases, takeovers, shareholders’ disputes, reorganisations and restructurings, regulatory matters, antitrust and foreign investment regulations.

We have extensive experience in corporate governance, with a special focus on corporate and M&A advice for publicly traded companies and regulated entities, including financial, infrastructure and real estate companies. Our group has acted in the privatisation of a number of public companies, having unique expertise in mergers and spin-offs of financial institutions.

Among other additional practices, NHG has also developed unique expertise in the telecom sector, in project finance and infrastructure projects, and in the oil and gas, electricity and private equity sectors.

Our real estate practice group is highly diversified and has grown substantially in recent years. Our work includes advice to parties in all types of transactions including financings of real estate projects; structuring and creation of domestic and international funds both private and publicly traded, including real estate CKDs and Fibras (REITS); and acquisitions, sales and joint ventures.

NHG also represents both Mexican and international clients in a broad range of strategic alliances, tax matters, investments and other transactions in the infrastructure, industrial, commercial and service sectors, among others. We have advised clients in connection with all stages of public bidding processes and the negotiation of acquisitions and service, infrastructure and other agreements and contracts with government agencies.
