Main areas of practice

Banking and Finance: With “years of being the leader in the banking and finance sector”, as Legal 500 states, the team advises 66 pre cent of the private banks active in Uruguay and two out of three large private pension fund managers. It has also been the only Uruguayan firm in the past 30 years in Uruguayan sovereign debt deals. The team also advises on investment funds, project finance, issuance of bonds and preferred shares through ADRs, syndicated loans, US privately placed securities and venture capital structures.

Corporate, M&A: As Chambers & Partners states, Guyer & Regules “continues to set the pace in the corporate sphere”. The team has participated in 63 per cent of major public M&A deals in Uruguay over the past two years, works for 10 out of 15 of the country’s top exporting companies, and advises on several equity investments, private equity, acquisitions, mergers of banks and pension fund administrators, spin-offs, transfers of assets, privatisations and utility concession proceedings.

Accounting and tax: The team has been recognised by International Tax Review – Euromoney as the top Uruguayan firm for three consecutive years and last year it was presented with the Americas Energy Tax Deal of the Year award. “This corporate heavyweight is a point of reference in tax-related matters”, as Chambers & Partners states.

Real estate: By far the largest and most experienced team in the country, with a very strong presence in tourism and residential developments (especially in Punta del Este and its surroundings), industrial developments, agribusiness and forestry investments. As Legal 500 states, the team demonstrates “excellent professional capacity, always put the client's needs first and respect the client's time constraints".

Litigation: A “trustworthy and ethical team that performs far above the standard level in the market” as Legal 500 indicates. The team specialises in complex civil and commercial litigation and arbitration, domestic and international, generally involving high-profile cases.

Labour: The team “delivers responses quickly and clearly and has an important relationship with the fiscal and administrative authorities” as indicated by Legal 500. It excels in both advisory and litigious labour matters and recently represented all of the Uruguayan financial entities in the collective bargaining agreement negotiations with the banking union and the government.

Energy: The team “shows clear leadership in the oil and gas industries”, as Chambers Latin America states, advising three out of five international companies with exploration rights in Uruguay: Tullow Oil, British Gas and Total. Moreover, it facilitated the implementation of the exclusive pipeline transporting natural gas from Argentina to Uruguay. The team also leads in renewable energies advising (either from the financing, sponsor or investor side) over 50 per cent of the wind farms that contracted with the state-owned power company UTE and in the development of wind farms, photovoltaic farms and biomass power plants.
