Main areas of practice

Corporate/commercial: Corporate/commercial issues are part of the services offered on a daily basis, including the incorporation of companies under any form of legal structure, corporate governance matters, reorganisation, spin-off or winding-up transactions, shares and assets purchases, joint ventures, shareholders’ agreements and all type of commercial agreements. In the M&A area, H&H has helped accomplish some of the major transactions in a wide variety of industries and businesses.

Banking and finance: H&H provides regulatory advice to commercial and investment banks and financial institutions, and regularly participates in the structuring of significant loans and credit facilities, trade financing, export credits and all related financial contracts and securities. In the field of capital markets, Hughes & Hughes has participated in several bond issues, including the largest issuance of commercial papers in Uruguay.

Asset recovery, insolvency and restructuring: The firm has vast experience in insolvency proceedings, including financial institutions and brokers, dealing with multiple jurisdictions and thousands of creditors. The firm has an organised structure prepared to efficiently deal with the most sophisticated cases in the sector and is the Uruguayan member of the ICC´s Fraudnet, the world leading asset recovery network.

Labour law and employment: The firm has developed a strong practice managing all labour legal aspects of clients with hundreds and sometimes thousands of employees. H&H has successfully accomplished reorganisation and restructuring schemes for long-standing companies. Due to its outstanding labour practice the firm has become the Uruguayan member of the Employment Law Alliance, a global network listed as among "The Elite".

Litigation and arbitration: Hughes & Hughes has an extremely effective litigation and arbitration practice, counting with a unique team of lawyers specialised in sophisticated dispute resolution, banking disputes, assets fraud recovery, environmental litigation, patent claims and a wide variety of high standard claims.

Real estate: The firm is probably the most experienced firm in the market, having been involved in real estate transactions purchasing over 200,000 hectares of land during the last decade.

Infrastructure and government procurement: The firm has been involved in all major bidding proceedings, PPPs, privatisations, public work concessions and the negotiation and execution of major infrastructure concessions, including power plants, gas pipelines, mining exploration, railways, roads and port facilities. The firm also provides advice to clients of regulated industries such as energy, telecommunications, oil and gas.

Energy and natural resources: The firm provides assistance in projects for the development of renewable energy, gas pipelines, wind and solar farms, a combined-cycled-gas-turbine power plant, and other infrastructures related to the gas supply. H&H also advises on the onshore and offshore exploration of oil resources. Environment: We regularly advise clients on all aspects of environmental law, having vast experience in pulp mills, chemical industries and environmental aspects of forestry. Services in this area include advising on regulatory aspects of environmental impact assessments, applying for and obtaining all necessary environmental authorisations, advising on legal environmental aspects of land regulations and land use, legal environmental due diligences and judicial proceedings regarding environmental liability.

Taxation: The firm advises clients to devise appropriate legal structures in the light of applicable taxation and regulatory requirements; the use of free zone system and international tax treaties is considered whenever they may result in benefits for commercial, tax and financial planning purposes.
